Mr. Hancock focuses on negotiating and structuring healthcare transactions on behalf of both for-profit and nonprofit healthcare organizations, including senior housing communities (skilled nursing facilities, assisted living facilities, and continuing care retirement communities (CCRCs)), behavioral health providers, home health agencies, hospice providers, physician practices, ambulatory surgery centers, management services organizations (MSOs), and dental services organizations (DSOs).
Much of Mr. Hancock's recent work has involved private equity-backed platforms acquiring or consolidating healthcare assets. He has also worked with nonprofit CCRCs on several acquisitions, dispositions and affiliations. He regularly drafts and negotiates purchase agreements, operations transfer agreements, management transfer agreements, and ancillary transaction documents; analyzes state and federal regulatory requirements for changes of ownership (e.g., Medicare, Medicaid and state licensure); and assists clients with regulatory due diligence on various healthcare assets (e.g., Stark, AKS, and quantifying exposure from issues that arise in diligence).
Having served as both buyer’s counsel for multiple private equity-backed aggregators and General Counsel for a private equity-backed portfolio company, Mr. Hancock is able to leverage his buy-side experience to provide invaluable insight to sellers on buyer strategy and seller risk mitigation. He also serves as outside general counsel to multiple senior housing clients and regularly advises clients on the applicability of federal and state healthcare laws and regulations impacting daily operations.
Before entering private practice, Mr. Hancock served as a captain in the U.S. Marine Corps, earning a Navy and Marine Corps Commendation Medal with combat “V” for service in Ramadi, Iraq. He also served as a team leader with U.S. Marine Corps Special Operations Command.
